SimpleADS User Agreement
Effective date: April 1, 2026
This User Agreement (hereinafter — the “Agreement”) governs the use of the website
simpleads.marketing (hereinafter — the “Website”) and interaction with the
SimpleADS project (hereinafter — the “Project”), and, in case of actual service provision, sets the general terms of such interaction.
By using the Website or interacting with the Project, the User (legal or natural person who contacts the Project, hereinafter — the “User”) confirms acceptance of the terms of this Agreement.
If the User does not agree with the terms, they must stop using the Website and interacting with the Project.
1. General Provisions1.1. SimpleADS is an independent project / team of specialists providing services in digital marketing and related areas and is not a legal entity.
1.2. The Website is for informational purposes only. All conditions, pricing, and service details should be clarified through the contact information provided on the Website.
1.3. Use of the Website and interaction with the Project is voluntary.
1.4. This Agreement regulates the interaction between the parties and may apply in case of actual service provision if no separate contract is concluded.
2. Interaction Between Parties2.1. The User may:
- request services;
- provide data;
- grant access.
2.2. The User confirms that they:
- act voluntarily;
- provide accurate information;
- understand the consequences of providing data.
2.3. The User is solely responsible for:
- granting access;
- consequences of using provided data;
- the security of their accounts and systems.
3. Services and Results3.1. The Project provides services in, but not limited to:
- marketing;
- advertising;
- analytics;
- development;
- design;
- automation.
3.2. Specific conditions are determined individually or during the interaction process.
3.3. Results / Guarantees
- The Project does not guarantee any specific results, including profits, leads, conversions, ROI/ROMI, or other metrics.
- The User understands and agrees that results depend on many factors, including market conditions, competition, platform algorithms, product quality, and the User’s actions.
- Case studies, examples, and results are for informational purposes only and do not guarantee achieving similar outcomes.
- Any wording in case studies, materials, or communications is not a promise or guarantee of results.
4. User Risks4.1. The User independently makes all decisions and bears all risks related to using services and recommendations.
4.2. The Project is not a financial, investment, or other advisor.
4.3. The Project does not guarantee income, profitability, or return on investment.
5. Contractual Relations5.1. If necessary, a separate contract may be concluded between the parties, specifying the terms of cooperation.
5.2. Concluding a contract is not mandatory.
5.3. The absence of a written contract does not cancel actual interaction between the parties.
6. Service Provision6.1. The Project has the right to:
- use third-party services;
- involve contractors;
- change methods, tools, and approaches without agreement.
6.2. The User undertakes to:
- provide access and information;
- ensure timely feedback.
6.3. The User is responsible for:
- the accuracy of data;
- consequences of provided access;
- functionality of their accounts.
7. Deadlines and Communication7.1. Service deadlines are indicative and may change.
7.2. The User undertakes to provide feedback within a reasonable period (up to 14 calendar days).
7.3. If there is no response for more than 5 calendar days, the Project may:
- suspend work;
- terminate interaction;
- close tasks.
8. Payment and Refunds8.1. Payment terms are determined individually.
8.2. Refunds are possible if:
- no more than 14 calendar days have passed since payment;
- services have not been started.
8.3. Service provision is considered started if any of the following occurs:
- start of work;
- use of access;
- task execution;
- strategy approval.
8.4. Once work has started, refunds are not provided.
8.5. Partial refunds may be granted at the Project’s discretion on a case-by-case basis.
9. Acceptance of Work9.1. Results are considered accepted if the User does not submit remarks within 5 calendar days.
9.2. After this period, results are considered accepted without claims.
10. Termination of Interaction10.1. The Project may terminate cooperation without notice in case of:
- lack of feedback;
- violation of terms;
- inappropriate behavior of the User.
10.2. Upon termination, obligations are considered fulfilled.
10.3. The Project and the User may terminate cooperation:
- upon completion of all work;
- if the User has accepted all work in full;
- at the Project’s initiative without notice.
11. Ethical Standards11.1. The parties undertake to maintain respectful communication.
11.2. In case of insults, threats, or inappropriate behavior, the Project may:
- terminate cooperation;
- refuse services;
- withhold payment / prepayment.
12. Platforms and Third Parties12.1. The Project is not responsible for:
- changes in algorithms (Google, Meta, Yandex, etc.);
- actions of third parties;
- operation of third-party services.
12.2. Use of third-party services is governed by their own rules.
13. Liability13.1. The User bears full responsibility for their actions, provided data, and decisions.
13.2. The Project is not liable for financial losses, lost profits, indirect or incidental damages.
13.3. The Project’s liability is limited to the amount of services actually paid for (if applicable).
14. Limitation and Interpretation14.1. Any verbal agreements have no legal force unless confirmed in writing.
14.2. Correspondence (email, messengers) may serve as confirmation of agreements.
14.3. In case of ambiguity, the Project has the right to interpret terms within applicable law.
15. Force MajeureThe Project is not liable for circumstances beyond its control, including:- technical failures;
- blockages;
- platform actions;
- other circumstances.
16. SeverabilityIf any provision is deemed invalid, the remaining provisions remain in effect.
17. Independence of RelationsThis Agreement does not create employment, partnership, or agency relationships between the parties.
18. Data and Confidentiality18.1. Data processing is carried out in accordance with the SimpleADS Privacy Policy.
18.2. The User consents to the processing and use of data for service provision.
18.3. The Project does not guarantee absolute security of data when using third-party services.
19. Publication of Cases19.1. The Project has the right to use information about cooperation in case studies, portfolios, and marketing materials.
19.2. Case studies are informational and do not guarantee results.
19.3. If an NDA is in place, publication is mostly anonymized.
19.4. Removal of materials is only possible by written request in accordance with the Privacy Policy.
20. Final Provisions20.1. The Project may amend the Agreement without notice.
20.2. The current version is posted on the Website.
20.3. Continued use of the Website and services indicates acceptance of changes.
20.4. In all other matters, the parties follow professional cooperation practices.
